In response to questions raised about potential "other" rights of 
members in the membership model, please find attached a legal memo 
listing the rights of members under California non profit law.

You will note that these rights are sorted in categories :
- the rights that are mandatory and cannot be constrained by Bylaws or 
contracts
- rights that can altered by Bylaws or contracts
