Please find attached the memo from our counsel regarding fiduciary duties. This was request #71,
certified on October 6. 

A very clear executive summary is provided, and I strongly encourage you to read it. Bruce, in your
capacity of Board liaison, it would be greatly appreciated if you could share it with the whole
Board, as I believe the question is a core concern for Board members.
