In case of NomCom-appointed Board Members, would the relevant SO/AC be NomCom or would this mechanism not be available ?

A clear reasoning/rationale must be provided and the Director given a chance to respond. Sufficient support threshold is simple majority. This call should be open to all to attend but is a discussion of the SO/AC.
