<div>Regarding the proposed charter for the new Board Accountability Mechanisms Committee, the BC has these suggestions and requests:</div>

<div>Section 1. Purpose</div>

<div>It is proposed that there could be an "Additional purpose to be defined by the Board as appropriate.” The BC believes that the Board should minimize the scope of any additional Committee work so that it can focus on Reconsideration Requests. </div>

<div>The BC suggests that the Board maintain a 2:1 ratio of voting to non-voting directors on this Committee.</div>
