Dear Legal Sub-team:

We look forward to briefly presenting our preliminary responses on the call tonight (at least it will be tonight for those of us on the Pacific Coast of the U.S.).

I note that our preliminary responses did not present a recommendation for a specific structure, or even developed options for alternative structures, designed to meet CCWG's goals, that we can walk you through tonight.  Rather, what we had time to prepare would be more fairly described as a tool box of various structures and mechanisms available under California nonprofit public benefit corporate law, which are available and we believe might be useful in light of CCWG's concerns as we understand them, alone or in combination with others, to develop such a recommended structure or options, as our next step.  We expect input from the Legal Sub-team and CCWG will impact which structures and mechanisms merit further development going forward.

Our team is currently in the on-going process of reviewing the extensive background materials that have been previously circulated (such as items on the reading list for the Istanbul meeting) that shed light on CCWG's goals and concerns and thinking to date; we expect our responses in the future will be increasingly well-informed as we are able to process what we are learning.  (We would of course have preferred to have completed this reading before preparing last week's memo, but there simply wasn't time; we ask the Sub-team's tolerance for any suggestions in the memo that may be obviously bad fits from the perspective of someone more familiar with ICANN and the CCWG's work to this point.)
