Greg – I agree with your read of this, but at the same time, I am not sure I really care much about breadth of this conveyance.  The faithful execution of this Agreement certainly would result in a valid transfer of the applicable IP to the IETF Trust.  That seems to be the most important issue for CWG and the community proposal.  If ICANN is willing to provide the protections and indemnity  requested by the IETF Trust – or it’s not willing to do so – I think I am indifferent either way.  But perhaps I am missing something.

Here is a draft of the Assignment document proposed by the IETF Trust.  I have reviewed it only for a nanosecond, and my first impression is that it's much longer than I expected it to be.  I was thinking more of a simple conveyancing document (suitable for recording at the USPTO) and not something that starts to resemble an Asset Purchase Agreement.  But don't let me prejudice your review (and I'll try to review it with an open mind as well).
