This is surprisingly good and refreshingly honest and positive.




Things that stood out for me: 




* To keep with the general principle of the board always having ultimate authority, ICANN could simple have a very large board, with an exec committee subset to make it manageable. 




I think this is a great idea in the context of what ICANN is. And it would tackle many of the existing problems with the current approach. Spread the power while working more or less the same.




* You can have members select and recall board members. Good. This brings everyone into the fold and makes the Board accountable.




* The doc notes that it is unusual to have a full spill the Board option but it could be done. 




I am not a fan of only having a single nuclear option and I strongly suspect ICANN corporate only wants one to avoid the real accountability measure of being able to recall individual board members. I would like to see the nuclear option rejected in favor of a system that allows for individual recall.




* I think the section on fiduciary duty of board members should be printed out and give to every current Board member. Yes board members are obliged to act on the overall best interests of the organization but in doing so they should fully consider their own constituency.




In short, I think this looks promising. I'm feeling almost optimistic that some the decade long problems could be resolved with some of these proposals.
