Thanks. I don't think the response to the ARIN memo needs to be extensive (unless you differ.disagree with any of their conclusions).  Indicating that a modified version of some of their suggestions is being folded into our work is very helpful.

We are happy to prepare a short response to the ARIN memo, and are prepared to deliver that on Monday, subject to other directions from Holly as coordinating counsel.  If that is not soon enough, please let me know, as we may be able to provide it on Sunday.  I should also note that a modification of the designator structure discussed in the ARIN memo is most likely to be one of the options to be presented during the Tuesday 5:00 AM Pacific time presentation.

To clarify, we will leave it to counsel to sort out how the firms divide the work on any specific project.  My prior email was only based on my recollection of our call earlier today.  Given that I am on my 5th ICANN-related conference call after that call, my recollection may be a little hazy (as a matter of fact, I may be a little hazy generally).

As determined in today's Legal Sub Team meeting, this is a formal "memorandum" seeking advice and response regarding the memo and proposed bylaw changes provided by ARIN's counsel for the CCWG's consideration.  I believe, but ask you to confirm, that Adler & Colvin will be taking this matter on.  Since the suggestions here dovetail with matters currently being discussed, this should be reviewed and commented upon with relative urgency, so that the ideas here can be properly considered by the CCWG.

Legal Subteam and Counsel:

I am forwarding the email below and attached, with suggestions/comments from ARIN's legal counsel regarding structure, bylaws and accountability.  For the benefit of counsel, ARIN is one of five Regional Internet Registries (RIRs), which together make up the ASO (Address Supporting Organization), one of the CCWG's chartering organizations.  The RIRs also make up a layer of the "numbers" (i.e., IP [internet protocol] address) community, one of the three communities (along with names (that's us) and protocol parameters (IETF)) responding to the RFP on IANA transition.

I believe there are some worthwhile points for consideration in this submission.

FYI, ARIN has had an opportunity to take a looks at ICANN's Bylaws with legal feedback from its lawyers, which may be of an interest for legal subteam.
This is just sharing it for your reference, simply some legal research work that ARIN sought & which may be useful for the CCWG's groups reference and not a recommendation.
