Michael,

I have a comment on 4.2:

  Taxes. Requestor will be responsible for all sales, use, excise taxes, value-added tax, and any like charges for services provided by the Provider hereunder as are imposed for Requestor’s consumption of those services. Provider will be solely responsible and liable for the payment of any and all taxes imposed on its provision of the service and all taxes based on Provider’s net income or gross revenues.


That's very jurisdiction-dependent. I suggest this is an overall guidance, but to specify that the fees description in the annex will detail which taxes are included.
